Arcads.ai ("Arcads", "we", "us", or "our") is a company incorporated under the laws of [Country/Region] with its registered address at [Registered Address]. These Terms of Service ("Terms") govern your access to and use of our AI-powered video ad generation platform accessible at https://arcads.ai (the "Service").

By creating an account, subscribing to any plan, purchasing credit packs, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

⚠️ Important: If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

1. Description of Service

1.1 Service Provided. Arcads provides an AI-powered platform enabling users to generate video advertisements using AI-generated digital actors, voiceovers, subtitles, and other video production features.

1.2 Nature of Service. The Service is a digital SaaS product. Access is granted immediately upon payment confirmation. Due to the immediate delivery nature of digital services, refunds are subject to the limitations described in Section 7.

1.3 AI Model Dependence. The Service relies on third-party AI model providers including Flux, Kling, Seedream, GPT Image, and Gemini. Service performance and availability may be affected by these providers' operational status. Significant disruptions will be communicated to users promptly.

2. Account Registration

2.1 Account Creation. Use of the Service requires an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2.2 Account Security.

  • Report unauthorized access immediately to security@arcads.ai
  • Do not share login credentials with any third party
  • Ensure your billing email address remains valid

2.3 Enterprise Accounts. If registering on behalf of a company or organization, you confirm you are authorized to bind that entity to this agreement.

3. Credit Packs and Billing

3.1 Credit Packs. All payments are for one-time credit packs (e.g., Starter Pack, Pro Pack) with a set number of video ad generations. Each pack is valid for 30 days from the date of purchase. Unused credits expire at the end of this period and are non-refundable thereafter.

3.2 Billing Authorization. By purchasing a credit pack, you authorize Arcads to charge your designated payment method for the amount displayed at checkout. Payments are processed securely by Waffo Pancake, our PCI-DSS compliant payment processor and Merchant of Record. Your payment data is never stored on our servers.

3.3 Taxes. Unless otherwise stated, all prices exclude applicable taxes (VAT, GST, sales tax, etc.). Where required by law, we collect and remit such taxes.

3.4 Pricing Changes. We reserve the right to modify pricing with at least 30 days' notice prior to your next purchase. Price changes take effect at the next billing cycle.

4. Cancellation Policy

4.1 How to Cancel. You may cancel your credit pack or subscription at any time through:

  • Online (recommended): Account Settings → Subscription → Cancel
  • Email: Send a cancellation request from your registered email to cancel@arcads.ai

4.2 Effect of Cancellation.

  • Your credit pack remains active until the end of the 30-day validity period
  • Unused credits at expiry are forfeited
  • No further charges will be made after cancellation
  • Account data is retained for 90 days after account closure, then deleted per our Privacy Policy

5. Refund Policy

5.1 General Policy. Due to the immediate delivery nature of digital services, credit pack purchases are generally non-refundable, except in the following circumstances:

  • 7-Day Guarantee: First-time purchasers may request a full refund within 7 days of purchase, provided less than 10% of the pack credits have been used
  • Duplicate Charges: Full refund for any billing errors
  • Verified Service Outage: Proportional refund or credit if service is unavailable for more than 72 consecutive hours due to our fault
  • Legal Rights: Statutory withdrawal or refund rights (e.g., EU 14-day cooling-off period) are preserved where applicable

5.2 Non-Refundable Items.

  • Credits already consumed
  • Annual plan fees requested more than 30 days after purchase
  • Credits expired due to inactivity after the 30-day validity period
  • Accounts terminated for violation of these Terms or the Acceptable Use Policy

5.3 How to Request a Refund. Send an email to refunds@arcads.ai with your account email, transaction ID, and reason. We confirm receipt within 2 business days and process eligible refunds within 5–10 business days.

6. Billing Disputes

If you believe a charge is incorrect, please contact billing@arcads.ai before initiating a dispute with your bank or payment provider. We commit to responding within 2 business days and resolving confirmed billing errors within 5 business days.

7. AI Content and Intellectual Property

7.1 Ownership of Output. Subject to these Terms, AI content you generate ("Output") belongs to you. You may use Output for any lawful purpose consistent with Section 8.

7.2 Input License. By submitting content to the Service ("Input"), you grant Arcads a limited, non-exclusive license to use Input solely for providing the Service to you. We will not use your Input to train AI models without your explicit consent.

7.3 Third-Party AI Models. Output may be influenced by third-party AI model providers including Flux, Kling, Seedream, GPT Image, and Gemini. We do not guarantee specific output quality and accept no responsibility for content generated by third-party models.

7.4 AI Output Accuracy. AI-generated content may contain errors, inaccuracies, or outdated information. You are responsible for reviewing and verifying Output before relying on it, particularly for legal, medical, financial, or professional decisions.

8. Acceptable Use Policy

8.1 Permitted Uses. You may use the Service only for lawful purposes consistent with these Terms, including personal productivity, business automation, research, and development activities.

8.2 Prohibited Uses. You agree NOT to use the Service to:

  • Generate illegal, defamatory, harassing, or fraudulent content
  • Generate, distribute, or assist in creating Deepfake content — AI-synthesized audio, video, or images impersonating real individuals or designed to mislead viewers about their origin or authenticity
  • Generate content involving the sexualization of minors
  • Create malware, phishing content, or cyberattack tools
  • Infringe on any third party's intellectual property or privacy rights
  • Bypass or interfere with the Service's security features
  • Resell or redistribute access rights without prior written approval
  • Violate any applicable law, regulation, or card network rules

8.3 AI-Specific Prohibitions. Given the AI nature of the Service, you specifically agree not to:

  • Use the Service's Input, Output, model responses, or any derivative data to train, fine-tune, benchmark,蒸馏, or otherwise develop any AI or machine learning model that competes directly or indirectly with Arcads or its products
  • Massively or systematically scrape, extract, or collect model outputs for purposes beyond your authorized personal use
  • In contexts where harm could result, present AI-generated content as the work of human professionals (e.g., licensed doctors, attorneys, or financial advisors)

9. Data, Privacy and Security

Your use of the Service is governed by our Privacy Policy. Payment card data is processed exclusively by Waffo Pancake, our PCI-DSS compliant payment processor and Merchant of Record, and is never stored on our servers. Account data is retained for 90 days after account closure, then deleted.

10. Disclaimer and Limitation of Liability

10.1 As-Is Service. The Service is provided "as is" and "as available" without any express or implied warranties, including merchantability, fitness for a particular purpose, or AI output accuracy.

10.2 AI Content Disclaimer. ⚠️ AI-generated content may be inaccurate, incomplete, or outdated. Do not use it for legal, medical, financial, or other professional advice. Always verify with a qualified professional before acting on AI content.

10.3 Liability Cap. To the maximum extent permitted by applicable law, ARCADS.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your account if you materially breach these Terms, are suspected of fraud, or are required to do so by law. If we terminate for reasons not attributable to your breach, we will proportionally refund unused prepaid amounts. You may delete your account at any time by contacting support@arcads.ai.

12. Governing Law and Dispute Resolution
